Overview
These Terms of Use ("Terms") govern access to and use of the Hey Echo platform and related services (the "Services"), owned and operated by Hey Echo, Inc. ("Hey Echo", "we", "our", or "us"), a Delaware corporation. By accessing or using the Services, you agree to these Terms and to the Hey Echo Privacy Policy at https://heyecho.ai/privacy, which is incorporated by reference. If you are using the Services on behalf of an organization, you represent that you are authorized to agree to these Terms on its behalf.
1. Service description
Hey Echo enables organizations to conduct AI-assisted conversational surveys and interviews with participants. Administrators manage engagements. Participants respond through secure links or verified mobile login. AI is used to transcribe, analyze, and synthesize responses into summaries and insights.
2. Accounts and access
- Administrators must provide accurate registration information.
- You are responsible for safeguarding login credentials and for activity under your account.
- Access is limited to authorized users within your organization.
- You must notify us promptly of any unauthorized use of your account.
3. Acceptable use
You agree to:
- Use the Services only for lawful research and feedback purposes.
- Obtain participant consent and provide any required notices before collecting responses.
- Maintain a lawful basis for processing the participant data you provide to the Services.
You agree not to:
- Attempt to bypass security or access other tenants' data.
- Upload unlawful, harmful, infringing, or malicious content.
- Reverse engineer, decompile, scrape, or disrupt the Services.
- Use the Services to violate any applicable law.
4. Participant communications
Organizations sending SMS or email through Hey Echo must comply with applicable laws, including the U.S. Telephone Consumer Protection Act (TCPA) and applicable carrier requirements. Participants may opt out of SMS at any time by replying STOP. You are responsible for ensuring you have any consents required to contact participants.
5. Client responsibilities and consent
As between you and Hey Echo, you are responsible for the accuracy and legality of the participant data you provide, for obtaining all necessary consents and permissions, and for the lawfulness of the engagements you run. Hey Echo processes participant data on your behalf and under your instructions.
6. Intellectual property
Hey Echo and its software, platform, and underlying technology remain the property of Hey Echo. Survey content, participant responses, transcripts, and generated reports belong to the client organization that created the engagement, subject to that organization's agreements with its participants. Hey Echo may create and use de-identified data and aggregated data as described in the Privacy Policy.
7. AI-generated content
The Services use AI to generate transcriptions, summaries, and insights. These outputs are assistive and may contain errors. They should be reviewed by a qualified person before being relied upon or delivered to a client. Hey Echo does not guarantee the accuracy or completeness of AI-generated output.
8. Third-party services
The Services rely on third-party providers, described by category in our Privacy Policy, with a current sub-processor list available on request. The Services may also contain links to third-party sites and resources that we do not control or endorse, and we are not responsible for their content or practices.
9. Confidentiality
Each party may receive confidential information of the other. Each party agrees to protect the other's confidential information using at least reasonable care and to use it only as needed to perform under these Terms. Where a separate written agreement between the parties addresses confidentiality, that agreement controls.
10. Disclaimer of warranties
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Hey Echo disclaims all express and implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Hey Echo does not warrant that the Services will be uninterrupted, error-free, or secure, or that AI-generated output will be accurate or complete.
11. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special, or punitive damages. Each party's total aggregate liability under these Terms will not exceed the fees paid or payable to Hey Echo in the twelve months before the event giving rise to the claim. Any exceptions to this limitation will be as set out in the applicable Master Services Agreement between the parties.
12. Term and termination
These Terms apply while you use the Services. We may suspend or terminate access for breach of these Terms, for risk to the Services or other users, or as required by law. On termination, your right to use the Services ends. Provisions that by their nature should survive termination will survive, including intellectual property, confidentiality, disclaimers, limitation of liability, and governing law.
13. Relationship to other agreements
If you and Hey Echo have entered into a separate written agreement governing the Services, such as a Master Services Agreement or Data Processing Agreement, that agreement controls to the extent it conflicts with these Terms. These Terms govern where no such agreement exists.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will post an updated version with a new "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions.
